5. Intellectual Property Rights

All methodologies, frameworks, tools, and pre-existing intellectual property remain the exclusive property of Codeinator.

b. Client Property

Upon full payment, ownership of custom-developed deliverables is transferred to the client, unless otherwise agreed in writing.Codeinator reserves the right to showcase completed work in its portfolio unless restricted by a confidentiality agreement.

6. Third-Party Services

Codeinator may integrate third-party tools, software, or services. We are not responsible for:
  • Third-party service failures or downtime
  • Changes in third-party pricing or policies
  • Data or security issues caused by third-party platforms
Clients agree to comply with third-party terms where applicable.

7. Confidentiality

Both parties agree to maintain the confidentiality of all non-public, proprietary, or sensitive information exchanged during the course of the engagement.

8. Limitation of Liability

To the maximum extent permitted by law:
  • Codeinator shall not be liable for indirect, incidental, or consequential damages
  • Total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim

9. Warranties & Disclaimers

  • Services are provided on an “as-is” and “as-available” basis
  • Codeinator does not guarantee uninterrupted or error-free services
  • We do not guarantee specific business outcomes or financial results

10. Termination

Either party may terminate services:
  • As per the terms outlined in the project agreement
  • In case of material breach by the other party
Upon termination, payment is due for work completed up to the termination date.

11. Refunds & Cancellations

Refunds and cancellations are governed by our Returns Policy, which forms an integral part of these Terms.

12. Privacy
